These Affiliate & Partner Program Terms ("Terms") govern your participation in the Serenity Affiliate Program (the "Program"). By joining or participating in the Program, you agree to comply with these Terms, as well as Serenity’s general Terms & Conditions and Privacy Policy.

Serenity operates its affiliate and partner program through Rewardful. Affiliates may earn commissions only on successful, eligible paid subscription payments made by referred customers who are properly and uniquely attributed to the affiliate through the Rewardful and Stripe platforms.

• Commission Rate: The current standard commission rate is thirty percent (30%) of eligible paid subscription payments, unless otherwise stated in a written agreement by Serenity.
• Recurring Commissions: Commissions apply to recurring subscription payments only while the referred customer remains an active, paying subscriber, and only while the affiliate remains in good standing under these Terms.
• Non-Commissionable Events: Commissions are strictly not paid for: website visits, clicks, impressions, leads, free trials, free signups, unpaid accounts, failed payments, or cancelled/refunded subscriptions.
• Self-Referrals: Affiliates may not refer themselves, their immediate family members, or their own businesses. Self-referrals will be voided and may result in immediate termination from the Program.

• Payout Schedule: Approved commissions are paid out on a Net-30 basis (e.g., commissions earned in January will be paid out at the end of February). This delay accounts for potential customer refunds or chargebacks.
• Minimum Threshold: Affiliates must accrue a minimum of $50.00 USD in unpaid commissions before a payout is issued. If the threshold is not met, the balance will roll over to the next processing period.
• Clawbacks: Commissions may be adjusted, reversed, withheld, or cancelled in the event of customer refunds, chargebacks, cancellations, failed payments, billing adjustments, or suspected fraud.

To protect the Serenity brand, affiliates must adhere to the following promotional rules:

• FTC Disclosures: Affiliates must make clear and conspicuous disclosures when promoting Serenity, explicitly stating that they receive financial compensation for purchases made through their links, in full compliance with the Federal Trade Commission (FTC) guidelines (e.g., using "#ad" or "Affiliate Link").
• Prohibited PPC / Brand Bidding: Affiliates are strictly prohibited from bidding on Serenity-branded keywords (e.g., "Serenity App," "Serenity Intelligence," "Serenity CBT") or misspellings thereof in Pay-Per-Click (PPC) campaigns (such as Google Ads or Bing Ads).
• Accurate Representation: Affiliates may not make false, misleading, deceptive, or unsupported claims about Serenity, its products, services, pricing, psychological/medical results, or availability.
• Spam & Coupon Sites: Affiliates may not promote Serenity through unsolicited bulk email (spam) or post their affiliate links on public coupon/discount-sharing websites.

Affiliates are granted a limited, non-exclusive, revocable right to use Serenity’s provided logos and marketing assets solely for the purpose of promoting the app under this Program. Affiliates may not alter the brand assets or present them in a way that implies a formal partnership, endorsement, or employment relationship beyond the scope of this affiliate agreement.

Affiliates are independent contractors. Nothing in these Terms creates an employer-employee relationship, partnership, agency, or joint venture between the affiliate and Serenity Intelligence LLC. Affiliates are solely responsible for their own taxes, expenses, and compliance with local laws.

Serenity Intelligence LLC reserves the absolute right to:

• Approve, reject, suspend, or remove any affiliate at any time, for any reason.
• Modify the commission terms or payout structures with prior notice.
• Terminate affiliate participation immediately in the event of fraud, abuse, misuse of the Serenity brand, or violation of these Terms.
